                                       ‘After 25 years invested, it’s time to sell.’

                                                   - The management team, middle-market sized business

 

Background:           The management team was ready to sell and an acquirer approached them to buy out the shareholders. Yet, after many months of discussion, the acquirer made an offer that was not satisfactory.  A lot of time and money was expended as a result with no measurable progress.

 

Management later recognized additional advisors were required to address their objective: to obtain a premium value for their business. Investment banking advisors were contacted, but did not have a process that logically addressed their key objective.

 

After many months of discussions and negotiations, they called us to represent them as the missing piece to the existing Advisory Team to apply a proven, systematic approach that works.

 

Landscape:            We walked into the middle of a transaction with established characteristics:

·         Management’s valuation expectations were not grounded in reality

·         The approach to driving value through the transaction was haphazard

·         There was no strategy to obtain a premium value

·         Management shared a lot of information over many months, firmly solidifying the acquirer’s mindset.

 

Challenges:            At its most fundamental level, the challenges we faced were focused to achieve two primary objectives:

·         Shift the multi-person Buyer team’s collective mindset to make a fair and equitable offer

·         Lead the transaction to closing

 

Impact:                 We raised the purchased price by 125%, utilizing our disciplined tools and systematic frameworks.
